These Terms of Service (“Terms”) govern your access to and use of the website located at https://iydsolutions.name.ng and the SaaS products operated by IYD Solutions(“IYD Solutions,” “we,” “our,” or “us”), including PSRTest, EduTest, and CivilTest.

By accessing our website or subscribing to or using any of our products, you agree to be bound by these Terms. If you do not agree, do not access or use our services.

1. Services

IYD Solutions provides technology services including but not limited to: custom software development, technology consulting, SaaS platform access (PSRTest, EduTest, CivilTest), and IT support and maintenance. Specific terms for individual services or products may be set out in separate service agreements or subscription terms, which supplement these Terms.

2. Eligibility

You must be at least 18 years of age, or the age of majority in your jurisdiction, to use our services directly. Organizations may use our products on behalf of minors (e.g., students) subject to applicable parental or institutional consent requirements. By using our services, you represent that you meet these requirements.

3. User Accounts

Access to certain features requires the creation of an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at iydsolutions.team@gmail.com if you become aware of any unauthorized use of your account. We are not liable for losses arising from unauthorized use of your account.

4. Acceptable Use

You agree not to:

Use our services for any unlawful purpose or in violation of applicable Nigerian law
Attempt to gain unauthorized access to our systems or other users' accounts
Transmit viruses, malware, or other harmful code through our platforms
Use our assessment platforms to cheat, impersonate, or misrepresent your identity
Scrape, copy, or redistribute our content or data without written permission
Interfere with or disrupt the integrity or performance of our services
Use our services to send unsolicited communications

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

5. Subscriptions and Payments

Access to our SaaS products may require a paid subscription. Subscription fees, billing cycles, and applicable taxes will be disclosed at the point of purchase. All payments are processed through our third-party payment provider, Flutterwave.

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are considered on a case-by-case basis and are not guaranteed. If you believe you have been charged incorrectly, contact us at iydsolutions.team@gmail.com within 14 days of the charge.

6. Intellectual Property

All content on our website and within our products — including text, graphics, logos, software code, product names, and assessment materials — is the intellectual property of IYD Solutions or its licensors and is protected by applicable copyright and intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to access and use our services for their intended purpose. You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content or software without our prior written consent.

You retain ownership of content you submit to our platforms (such as custom questions or test content). By submitting such content, you grant us a limited licence to use it solely to deliver the services you have subscribed to.

7. Disclaimers

Our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our services will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or suitability of any assessment results generated by our platforms for any specific hiring, academic, or administrative decision.

8. Limitation of Liability

To the maximum extent permitted by applicable law, IYD Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our services — including but not limited to loss of profits, data, goodwill, or business opportunities — even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising from or related to these Terms or the services exceed the amount you paid to us in the 12 months preceding the claim, or ₦50,000 (fifty thousand naira), whichever is greater.

9. Indemnification

You agree to indemnify, defend, and hold harmless IYD Solutions and its officers, directors, employees, and contractors from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may terminate your account at any time by contacting us or through account settings where available. We reserve the right to suspend or terminate your access to our services at any time, with or without cause, and with or without notice — particularly in cases of violation of these Terms.

On termination, your right to use our services ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue to apply.

11. Changes to Terms

We may update these Terms from time to time. We will provide notice of material changes through our website or via email to registered users. Your continued use of our services after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
